Provisions – Memorandum and Articles of Association

Whereas founded in 1999, the Military Heritage of Ireland Trust CLG was incorporated under the Companies Acts, 1963 to 1999 on 30 June 2000. The associated Memorandum and Articles of Association prescribe for the Trust’s Directors, and can be viewed in the About Us Section of the Web Site.

The term “Directors” means the Directors for the time being of the Trust, or the Directors present at a meeting of the Board of Directors.

The business of the Trust shall be managed by the Directors.

The number of Directors and the names of the first Directors shall be determined in writing by the subscribers of the Memorandum of Association or a majority of them, provided that the officer for the time being holding the appointment of Deputy Chief of Staff (Support), Defence Forces, shall at all times be an Ex Officio Director. The Trust, by ordinary resolution, may increase or decrease the number of Directors.

The Directors may elect a Chairman of their meetings and determine the period for which he is to hold office. The Directors may appoint any company, firm, person, or body of persons, to be the attorney of the Trust.

The rotation and election of Directors is prescribed in the Trust’s Articles of Association. One third of the Directors must retire at an Annual General Meeting, but may put their names forward for reelection. The Directors who are obliged to retire at a particular Annual General Meeting are those who have been the longest in office since the last election. A retiring Director shall be eligible for reelection.

The Directors can co-opt an individual on to the Board of Directors. Such co-opted Directors shall hold office until the next Annual General Meeting and shall be eligible for re-election.

Current Directors

Chairman: Brig Gen Paul Pakenham (Retd): First elected in October 2013. Former Defence Forces Officer.

Maj Gen David O’Morchoe (Retd): Elected in June 2000. Former British Army Officer. Titled ‘The O’Morchoe’, he is titular head of his Clan and a founder member of the Trust.

Col R.H. Bicker (Retd): Elected in June 2000. Businessman in Northern Ireland, a former member of the Council of State and a founder member of the Trust.

Mr J. J. Cullinane: First elected in June 2000. Chairman of The Cullinane Group Inc. in Boston, and a founder member of the Trust.

Mr Frank Murray: First elected in June 2000. Former Secretary-General to the Government.

Col W.H Gibson (Retd): First elected in October 2000. Former Defence Forces Officer.

Ms Etain Doyle: First elected in January 2009. Business and Regulatory Consultant, Vistage Group Chair and the Trust’s Treasurer.

Brig Gen Jim Saunderson (Retd): First elected in February 2011. Former Defence Forces Officer and a former Chairman of the Trust from 2011 to 2013.

Mr Peter Baillie: First elected in November 2011. Director Aftercare Services.

Mr Lar Joye: First elected in October 2012. Military History Curator, National Museum of Ireland, Collins Barracks, Dublin.

Mr John Deering: First Elected in October 2013. Retired secondary school teacher, actively supporting the Inniskillings Museum, Enniskillen and the Fermanagh County Museum.

Brig Gen Paul Fry (Retd): First elected in May 2017. Former Defence Forces Officer.

Mr Frank Cogan: First Elected in May 2017.  Retired Ambassador, Department of Foreign Affairs and Trade.

Maj Gen Kevin Cotter: Deputy Chief of Staff (Support) of the Defence Forces, and as such is an ex-officio Director of the Trust.

Company Solicitors

Auditors of the Trust

In accordance with paragraph 69 of the Articles of Association, the Trust shall appoint auditors, until the next Annual General Meeting.
